H.M. Chan & Co in association with Taylor Wessing recently represented Tongsheng International Enterprise Limited, which is wholly-owned by Lunar Global Fertility Platform L.P., on the acquisition of 64.85% shares of Mason Reproductive Technology Limited for a consideration of HK$268 million.

Mason Reproductive Technology Limited is principally engaged in the business of (a) provision of obstetrics and gynaecology clinical services, (b) medical check and consultation, operation for collection and embryo test for in vitro fertilization, and (c) operation of laboratory for blood tests, hormone tests and sperm washing.

The team comprises partners Mark Chan and Jennifer Ng, counsel Avis Lau, senior associate Calvin Lam, associate Francine Chang and legal manager Emma Lam.

H.M. Chan & Co in association with Taylor Wessing represented a substantial and selling shareholder in the takeover of China ZhongDi Dairy Holdings Company Limited (HKEX: 1492)

H.M. Chan & Co in association with Taylor Wessing recently represented a substantial and selling shareholder of China ZhongDi Dairy Holdings Company Limited (“China ZhongDi”) in the takeover of China ZhongDi by Wholesome Harvest Limited (the “Offeror”) by way of a mandatory conditional cash offer. The cash consideration paid by the Offeror is approximately HK$1,634 million.

China ZhongDi is principally engaged in business operations including raising and breeding dairy cows, producing and selling premium raw milk, importing and selling dairy cows of quality breeds and breeding stock, and import trading business in cows, alfalfa hay and other animal husbandry-related products. The controlling shareholder of the Offeror is Inner Mongolia Yili Industrial Group Co., Ltd., a company listed on the Shanghai Stock Exchange (SSE: 600887). The mandatory conditional cash offer was declared unconditional on 20 January 2021 and closed on 8 February 2021.

The team comprises partners Mark Chan and Jennifer Ng, counsel Chloe Chan, senior associate Calvin Lam and legal manager Marcus Ng.
